BBX Terms of Service

BBX ("BBX", "us", "we", or "our") owns and maintains this website BBX.com and related applications (collectively, the "Site").

These Terms of Service ("Terms") govern your access and use of the Site, including the ability to contact us regarding our business and access informational material if and as available from time to time (together with the Site, the "Services").

Our Privacy Policy governs our collection, processing and transfer of any Personal Data (as such term is defined in the Privacy Policy).

"You" means an individual visiting and/or using the Site and/or Services.

PLEASE READ THESE TERMS CAREFULLY. BY VISITING OUR SITE, YOU AGREE TO BE BOUND BY THESE TERMS, AS THEY MAY BE AMENDED FROM TIME TO TIME. YOUR CONTINUED USE OF THE SITE FOLLOWING ANY UPDATE SHALL BE DEEMED ACCEPTANCE OF ANY SUCH AMENDED OR UPDATED TERMS.

1. Use of Services

1.1. Subject to these Terms, BBX allows you to access and use the Services on a non-exclusive basis. The Services provide technology infrastructure that may facilitate access to tokenized real-world asset services through licensed third-party partners.

1.2. BBX operates exclusively as a non-custodial technology service provider. BBX does not hold, control, or manage your assets. BBX does not itself act as a securities issuer, custodian, broker-dealer, investment adviser, fund manager, or market maker.

1.3. Use of and access to the Services is void where prohibited by law. You represent and warrant that (a) your use of the Services does not violate any applicable law, regulation, or obligation you may have to a third party; and (b) you shall comply with applicable laws, regulations, guidelines, and these Terms throughout your use of the Services.

1.4. Use Restrictions. You may not do or attempt to do or facilitate a third party in doing any of the following: (1) decipher, decompile, disassemble, or reverse-engineer any of the software and/or code used to provide the Services; (2) circumvent, disable, or otherwise interfere with security-related features of the Services; (3) use the Services in connection with any commercial endeavors not specifically set forth in these Terms; (4) use any robot, spider, or any other automated device or process to retrieve, index, data-mine, or reproduce the Services; or (5) use the Services in any manner not permitted by these Terms or applicable law.

2. Restrictions on Users

2.1. The Services are expressly unavailable to:

(a) Citizens or permanent residents of the United States of America;

(b) Entities incorporated or operating under U.S. laws;

(d) Any person or entity located in, organized in, or a national of any territory subject to comprehensive sanctions imposed by the U.S. Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or UK HM Treasury;

(e) Any person or entity appearing on any applicable sanctions list, including the OFAC Specially Designated Nationals (SDN) List.

2.2. The Services may also be unavailable in certain other jurisdictions where the provision of such services would be restricted or unlawful.

2.3. By accessing or using the Services, you affirm and warrant that: (a) You are not a U.S. Person; (b) You will not use the Services while physically present in the United States; (c) You will not circumvent geographic restrictions (e.g., via VPN or proxy).

2.4. Violation of these warranties constitutes a material breach of these Terms, resulting in immediate account termination without refund.

2.5. BBX implements the following controls to enforce restrictions (as applicable): (a) Geographic Blocking: IP addresses originating from restricted regions are automatically denied access; (b) Wallet Screening: wallet addresses are screened against applicable sanctions databases; (c) Blockchain Analysis: transactions linked to restricted addresses may be flagged and suspended.

2.6. BBX does not market or promote its services to U.S. audiences, including via U.S.-based social media or advertising platforms.

3. Securities Trading

3.1. Certain Services may relate to securities listed on various stock exchanges, including but not limited to U.S. exchanges and the Hong Kong Stock Exchange ("HKEX"). Trading in such securities may be facilitated through licensed brokerage partners.

3.2. BBX does not guarantee execution of any order submitted through the Services. Orders may be rejected, delayed, or cancelled due to market conditions, exchange rules, or regulatory requirements.

3.3. All securities trading activities are subject to the rules and regulations of the applicable exchange and its regulatory authority.

3.4. Users may be subject to brokerage fees, exchange fees, settlement fees, transaction levies, stamp duties, and other regulatory charges. Such fees may be charged by BBX or by third-party intermediaries and will be displayed at the time of transaction where applicable.

3.5. Corporate actions affecting securities (including but not limited to dividends, stock splits, rights issues, bonus shares, mergers, and restructurings) may be handled by third-party custodians or brokerage partners. BBX does not guarantee the timing, manner, or completeness of corporate action processing.

3.6. Market data provided through the Services may be supplied by third-party providers. Such data may be delayed, aggregated, or subject to licensing restrictions. BBX does not guarantee the accuracy, completeness, or timeliness of market data.

4. Market-Specific Risks

4.1. Hong Kong Market. Users trading securities listed on HKEX acknowledge the following:

(a) No Daily Price Limits: The Hong Kong securities market does not impose daily price limits. Security prices may fluctuate significantly within a single trading day.

(b) Settlement Cycle: Securities transactions on HKEX are typically settled on a T+2 basis through the Central Clearing and Settlement System (CCASS).

(c) Transaction Levies: Hong Kong securities transactions may be subject to stamp duty, trading fees, transaction levies, and clearing fees imposed by relevant authorities.

(d) Trading Interruptions: Trading may be suspended due to market halts, extreme volatility, technical failures, or regulatory action.

(e) Severe Weather Arrangements: HKEX may suspend or modify trading hours during extreme weather conditions such as typhoon signals or black rainstorm warnings.

4.2. U.S. Market. Users trading securities listed on U.S. exchanges acknowledge that: (a) settlements follow the standard T+1 cycle; (b) trading is subject to the rules of the applicable exchange and the SEC; (c) markets are open during U.S. trading hours only.

4.3. Other Markets. Details of market-specific rules for other exchanges are provided within the relevant trading interface.

5. Account and Termination

5.1. You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information, maintain updated contact details, and notify BBX immediately of any unauthorized account activity.

5.2. BBX may suspend or terminate your access to the Services at any time for violation of these Terms, regulatory requirements, security concerns, or at its sole discretion.

5.3. When you create an Account, you represent and warrant that you are at least of legal age in your respective jurisdiction, you are capable of entering into and performing legally binding contracts under applicable law, and that all information which you provide is accurate, up-to-date, truthful and complete.

5.4. Unless expressly permitted by BBX, you shall not set up multiple Accounts. You shall not lend, transfer or sell your Account or Account information to another party and must not use another user's Account without their written permission.

5.5. BBX may occasionally contact you on the email address provided in your Account registration. You shall take the responsibility to ensure that your email address is up-to-date. If you missed any communications due to an inaccurate, outdated, or incomplete email address, BBX will not be liable for any losses or damages caused by you missing the communication.

6. Intellectual Property

6.1. BBX or its licensors have all right, title and interest in the Site, Services, and any content thereon, including its overall appearance, text, graphics, interfaces, and underlying source files, and all worldwide intellectual property rights, trademarks, service marks, and logos contained therein. Except as expressly permitted herein, you may not copy, reproduce, republish, modify, download, post, broadcast, transmit or otherwise use the content of the Services for any purpose.

6.2. Nothing in these Terms should be construed as granting you any right to use any trademark, service mark, logo, or trade name of BBX or any third party.

7. Disclaimers

7.1. The information contained on the Site is not intended to solicit you to purchase any financial product directly from us. Tokenized equities are NOT offered by us or by any affiliated entity of ours directly to the public.

7.2. All information and content posted on the Site is for informational purposes only and BBX provides no guarantees with respect thereto. Your use of the Site and/or Services is at your sole discretion and risk.

7.3. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, RELATING TO THE SITE, SERVICES, OR ANY CONTENT THEREON, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, COURSE OF DEALING OR COURSE OF PERFORMANCE. WE DISCLAIM ANY WARRANTIES, EXPRESS OR IMPLIED, (I) REGARDING THE SECURITY, ACCURACY, RELIABILITY, TIMELINESS AND PERFORMANCE OF THE SITE AND/OR SERVICES; (II) THAT THE SITE OR SERVICES WILL BE ERROR-FREE OR THAT ANY ERRORS WILL BE CORRECTED; (III) REGARDING THE ACCURACY, QUALITY, CURRENCY, COMPLETENESS OR USEFULNESS OF ANY CONTENT OR INFORMATION PROVIDED.

7.4. Non-Investment Advice Disclaimer. No advice or information, whether oral or written, obtained by you from us, shall create any warranty that is not expressly stated in these Terms. BBX does not provide investment advice, portfolio management, or financial advisory services of any kind.

7.5. You acknowledge that: (a) any decision to engage in token transactions or use DeFi protocols is made solely at your own risk; (b) we do not evaluate the suitability or value of any digital asset for your personal financial goals; (c) you are solely responsible for consulting licensed financial advisors before making investment decisions.

8. Risk Disclosure

8.1. Market Volatility: Digital assets are highly volatile and may result in significant financial loss. Price fluctuations can occur rapidly due to regulatory changes, market manipulation, or technological failures.

8.2. Smart Contract Vulnerabilities: Decentralized applications rely on code that may contain exploitable bugs, leading to irreversible asset loss.

8.3. Irreversibility of Transactions: Blockchain transactions cannot be reversed once confirmed.

8.4. Regulatory Uncertainty: Blockchain regulations vary by jurisdiction and may change without notice. We do not guarantee compliance of any token with local securities laws.

9. Limitation of Liability

9.1. Without derogating from any of the foregoing, we assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any content or the Services. We are not responsible for any problems or technical malfunction or failure of any telephone network or lines, computer online systems or equipment, servers or providers, software, failure due to technical problems or traffic congestion on the Internet or on the Services. Under no circumstances shall we be responsible for any loss or damage, including personal injury or death and any injury or damage to any person's property, including mobile device or computer, resulting from the conduct of any users of the Services, whether online or offline. In addition, we assume no responsibility for any incorrect data, including Personal Data provided by you or on your behalf and you hereby represent and warrant that you are solely responsible for any and all data provided to BBX, including any incorrect data and you shall assume any and all liability for any consequences of provision of such incorrect data to us. You expressly acknowledge and agree that blockchain network congestion, on-chain oracle latency, or underlying protocol failures may result in order delays, execution price slippage, or the failure of liquidation mechanisms. BBX assumes no liability for losses arising from these inherent characteristics of decentralized networks. In all events, the maximum cumulative liability of BBX and its affiliates to you is strictly limited to the US$100 cap specified in Section 9.2 of these Terms.

9.2. IN NO EVENT SHALL BBX OR ANY OF ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, ASSIGNEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT BBX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND IN NO EVENT SHALL OUR MAXIMUM CUMULATIVE LIABILITY TO YOU EXCEED US$100.

10. Indemnification

You agree to indemnify, defend, and hold harmless BBX, and its employees, directors, officers, subcontractors and agents, against any and all claims, damages, or costs, losses, liabilities or expenses (including reasonable court costs and attorneys' fees) that arise directly or indirectly from: (a) breach of these Terms by you or anyone using your computer and/or mobile device; (b) any claim, loss or damage experienced from your use or attempted use of (or inability to use) the Site or Services; (c) your violation of any law or regulation relating to the Site or Services; (d) your infringement of any right of any third party.

11. Third-Party Content

The Site may provide you with third-party links to websites, applications, and services. We make no promises regarding any content, goods or services provided by such third parties and all use of third-party websites and applications is at your own risk. We do not accept responsibility for the privacy policies of such third parties. We do not endorse any products offered by third parties and we urge our users to exercise caution in using third-party websites or applications.

12. Miscellaneous

12.1. In the event that any provision of these Terms is held to be unenforceable, such provision shall be replaced with an enforceable provision which most closely achieves the effect of the original provision, and the remaining terms shall remain in full force and effect.

12.2. Nothing in these Terms creates any agency, employment, joint venture, or partnership relationship between you and BBX or enables you to act on behalf of BBX.

12.3. These Terms constitute the entire agreement between us and you pertaining to the subject matter hereof.

12.4. We may assign and/or transfer our rights and obligations hereunder to any third party without prior notice. You shall not assign and/or transfer any of your rights or obligations hereunder.

12.5. BBX reserves the right to modify these Terms at any time. Your continued use of the Site following any update shall be deemed acceptance of any such amended or updated Terms.

12.6. If we are required to provide notice to you hereunder, we may provide such notice to the contact details you provided when using the Services.

13. Governing Law and Jurisdiction

13.1. These Terms and any and all claims, disputes or other legal proceedings by or between you and us, including but not limited to any claims or disputes that are in any way related to or arising out of these Terms or your use of or access to the Services, shall be governed by and construed in accordance with U.S. federal law and the laws of the State of Delaware, without regard to any principles of conflicts of law.

13.2. You agree that any action arising out of, relating to or in connection with the Services and/or these Terms shall be litigated solely in a state or federal court of competent jurisdiction located in Delaware, and you further irrevocably submit to the exclusive jurisdiction of such court and waive any objection to jurisdiction and venue (including on the basis of forum non conveniens).

13.3. Notwithstanding the foregoing, to the extent that any securities trading activities conducted through the Services are subject to the mandatory laws and regulations of a specific market jurisdiction (including but not limited to the rules of the Hong Kong Stock Exchange, the U.S. Securities and Exchange Commission, or other applicable regulatory authorities), such mandatory laws and regulations shall apply and shall prevail over these Terms to the extent of any inconsistency.

14. Enforcement

14.1. BBX may suspend, terminate or block your access to the Services (in whole or in part) for any violation or suspected violation as we determine, without notice to you. Your violation of these Terms shall be considered a breach of contract.

14.2. We reserve the right, but do not assume any obligation, to investigate any suspected violation of these Terms or any misuse of the Services. We further reserve the right to report any activity, data or persons to, and otherwise cooperate with: (a) law enforcement authorities; (b) financial regulators, including the U.S. Securities and Exchange Commission (SEC), the Hong Kong Securities and Futures Commission (SFC), and the Monetary Authority of Singapore (MAS); (c) system administrators at Internet service providers, networks or computing facilities; and (d) providers and/or third-party vendors.

14.3. You acknowledge that such reporting or cooperation may include, without limitation, providing information relating to you and/or your use of the Services, including without limitation your email address, IP address, wallet address, or other identifying information, to law enforcement authorities, financial regulators, third-party providers, vendors or system administrators. We may disclose any information we think necessary to comply with applicable law, regulation, subpoena or other legal process or governmental or regulatory request.

15. License

15.1. Subject to these Terms, and your compliance with these Terms, BBX hereby grants you a limited, personal, non-exclusive, non-sub-licensable and non-transferable license to use the Content and to use this Service, in each case solely for your personal use. You agree not to use the Service or any of the Content for any commercial purpose.

15.2. Except for the foregoing license, you have no other rights to the Service or any Content, and you may not modify, edit, copy, distribute, reproduce, publish, display, perform, license, sell, rent, lease, loan, create derivative works of, create any index, reverse engineer, alter, enhance, provide access to or in any way exploit the Service or the Content in any manner. If you breach any of these Terms, the above license will terminate automatically.

In addition to the restrictions set forth in Section 1.4, you agree that you will not: (a) copy, modify or create derivative works of the Service or any Content; (b) trade, sell, rent, loan, lease or license any Content or access to the Service; (c) use or introduce to the Service any data mining, crawling, "scraping", robot or similar automated or data gathering or extraction method; (d) introduce a virus, Trojan horse, worm, time bomb or other malware to the Service or the Platform; (e) violate, bypass or circumvent any security measure intended to limit or prevent access to the Platform, Content or Service; (f) restrict, inhibit or interfere with use of the Service by any other user; (g) make use of any of our trademarks, service marks, trade names or logos without prior written permission; (h) use the Service for or in connection with any activity that violates any applicable law, statute, ordinance or regulation, including without limitation OFAC sanctions regulations, or involves proceeds of any unlawful or illegal activity.
